These Terms of Service ("Terms") govern access to and use of the PPS Academy platform at propadelschool.com.au, including its dashboards, web apps and APIs (the "Service"), provided by [PPS Academy legal entity name] ("PPS Academy", "we", "us"). By creating an account or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the club or organisation you represent.
1. The Service
PPS Academy is a management platform for padel academies and clubs, covering student pathways and assessments, scheduling, billing, staff permissions, and optional online payment collection. The Service is provided on a subscription (licence) basis to clubs, who in turn use it to manage their own students, staff and, where enabled, their own Stripe payment account.
2. Accounts and roles
Club owners and managers create staff accounts and control what students, coaches and other staff can see and do within their own club, using the roles and permissions built into the Service. You are responsible for the accuracy of information you enter and for keeping your login credentials confidential. You must notify us promptly of any unauthorised use of your account.
3. Payments — platform licence
Clubs pay PPS Academy a licence fee for use of the Service, billed through Stripe. Fees, billing cycles and any setup fees are as agreed at signup or as shown in your club's billing settings. Fees are non-refundable except as required by law or expressly stated otherwise.
4. Payments — student billing (Stripe Connect)
Clubs that enable online payments connect their own Stripe account to the Service through Stripe's hosted onboarding. When a club uses this feature:
- The club — not PPS Academy — is the merchant of record for charges made to its students, and is responsible for its own pricing, refunds, disputes and compliance with Stripe's terms.
- PPS Academy facilitates the charge on the club's behalf using Stripe's connected-account infrastructure, and never holds, transmits or stores the club's Stripe credentials or its students' full card details.
- Payouts, refunds and disputes for student payments are managed by the club directly through its own Stripe Dashboard.
- Use of Stripe is also subject to the Stripe Connected Account Agreement and Stripe's terms.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or to store or transmit information you do not have the right to share.
- Attempt to access another club's data, or circumvent the Service's access controls.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to process payments for goods or services unrelated to your padel academy's legitimate operations.
6. Student and personal data
Clubs are responsible for having the necessary consent from students, and from parents/guardians of junior students, to store and process their personal information in the Service, consistent with our Privacy Policy.
7. Intellectual property
The Service, including its software, design and content (excluding data you or your club input), is owned by PPS Academy or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for your club's internal operations for as long as your subscription is active.
8. Availability and changes
We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may modify, suspend or discontinue features of the Service, and may update these Terms from time to time; material changes will be reflected by updating the effective date above.
9. Disclaimers and limitation of liability
The Service is provided "as is" without warranties of any kind, to the extent permitted by law. To the maximum extent permitted by law, PPS Academy is not liable for indirect, incidental or consequential damages arising from use of the Service. Nothing in these Terms excludes any consumer guarantee or right under the Australian Consumer Law that cannot lawfully be excluded.
10. Termination
Either party may terminate a club's subscription in accordance with the billing terms agreed at signup. We may suspend or terminate access if these Terms are breached, or if required to prevent harm to the Service or other users. On termination, a club's Stripe connection is revoked and the club resumes full independent control of its own Stripe account.
11. Governing law
These Terms are governed by the laws of [State/Territory], Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
